Vendor Terms and Conditions

These terms form the agreement between [LEGAL ENTITY NAME] (“the Marketplace”, “we”) and you (“the Vendor”, “you”) governing your sale of goods through our platform. By submitting a vendor application, listing an item, or accepting an order, you agree to these terms.

Read them alongside our Marketplace Guidelines and Prohibited and Restricted Items pages. Those pages form part of this agreement and are binding in the same way.

1. Eligibility and your account

You may sell on the Marketplace if you are at least 18 years old, legally able to enter contracts, and hold any licences your jurisdiction requires for selling and shipping live plants.

  • You must provide accurate business, contact, and payment information, and keep it current
  • You are responsible for all activity under your account, including anything done by staff you give access to
  • You may not transfer or sell your vendor account without our written consent
  • We may verify your identity, business registration, or licences at any time, and suspend listings until verification completes

Approval is at our discretion. We may decline an application without giving reasons.

2. Relationship between us

You are an independent seller. Nothing in these terms creates an employment relationship, partnership, joint venture, or agency between us.

You are the seller of record for every order. The contract of sale is between you and the buyer. We provide the platform, process payment, and facilitate the transaction — we do not own, inspect, warrant, or take possession of your goods.

You set your own prices, choose your own stock, and control your own fulfilment, subject to the standards in these terms and the Marketplace Guidelines.

3. Your obligations

You agree to:

  • List only goods you own or are authorised to sell, described accurately and completely
  • Meet the listing, photography, plant health, and packing standards set out in the Marketplace Guidelines
  • Fulfil accepted orders within your stated handling time, or cancel promptly and tell the buyer why
  • Respond to buyer messages within [2] business days
  • Comply with all applicable laws, including plant health, CITES, consumer protection, import and export, and tax law
  • Hold and produce on request any permits, phytosanitary certificates, or collection permissions relevant to your listings
  • Not divert buyers off the platform to avoid fees, and not solicit, incentivise, or retaliate against reviews

4. Listings and content

You retain ownership of the photographs, descriptions, and other content you upload.

You grant us a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and adapt that content for the purpose of operating and promoting the Marketplace, including in search results, category pages, email, and social media. This licence continues for content associated with completed orders after your account closes, so order history remains intact.

You warrant that you own or have permission to use everything you upload, and that it does not infringe anyone’s rights.

We may edit, recategorise, or remove listings that breach these terms or our policies, and may do so without notice where the breach is serious.

5. Fees and commission

We charge a commission of [X]% of the order total, including shipping, on every completed sale. [Add any listing fee, subscription tier, or payment processing fee here.]

  • Commission is deducted before payout, not invoiced separately
  • Fees are exclusive of any applicable VAT or sales tax, which is added where required
  • Refunded orders have commission returned proportionally [or: commission on refunded orders is retained — choose one and be explicit]
  • We may change fees on [30] days’ written notice. Continuing to list after that date is acceptance

6. Payments and payouts

Buyers pay the Marketplace. We hold funds and release your share on the schedule below.

  • Payouts are made [weekly / every 14 days] to the account on your vendor profile
  • Funds for an order become eligible [14] days after delivery is confirmed, to allow the arrival-condition window to close
  • Minimum payout threshold: [amount]
  • We may hold or delay a payout where an order is disputed, a chargeback is pending, verification is outstanding, or we reasonably suspect a breach of these terms
  • You are responsible for the accuracy of your payout details. We are not liable for funds sent to an account you entered incorrectly

We may set off amounts you owe us — refunds, chargebacks, fees — against pending payouts.

7. Taxes

You are responsible for determining, collecting, reporting, and remitting all taxes arising from your sales, except where law requires the Marketplace to collect and remit on your behalf.

Where we are required to act as deemed supplier or to withhold tax, we will do so and reflect it in your payout statements. You agree to provide any tax registration numbers or documentation we need to meet those obligations.

We do not provide tax advice. Take your own.

8. Cancellations, returns, and claims

Live plants are exempt from ordinary change-of-mind returns and you may state that in your shop policy.

You may not refuse a claim where the item arrived dead, materially damaged, or materially different from the listing. Buyers have [48] hours from delivery to raise an arrival-condition claim with photographs.

  • Respond to a claim within [3] business days with a replacement, partial refund, or full refund
  • Where you and the buyer cannot agree, we will decide the outcome and our decision is final for platform purposes
  • Refunds are deducted from your next payout
  • Cancelling an order for genuine plant health reasons will not count against your performance metrics

Excessive cancellation, late shipping, or claim rates may result in reduced visibility or suspension.

9. Chargebacks

Where a buyer raises a chargeback, we will notify you and may ask for evidence of fulfilment. You are responsible for the chargeback amount and any associated fee where the chargeback results from your act or omission, including non-delivery, misdescription, or failure to provide tracking.

We may recover those amounts from pending payouts or invoice you directly.

10. Buyer data

You receive buyer personal data solely to fulfil orders and handle related customer service.

  • You may not use buyer data for marketing without the buyer’s separate consent
  • You may not sell, rent, or disclose buyer data to third parties
  • You must keep it secure and delete it when no longer needed for the order or required by law
  • You must comply with applicable data protection law [and, where relevant, act as an independent controller in respect of that data]

A breach of this section is treated as a serious breach of these terms.

11. Warranties and indemnity

You warrant that your goods are lawfully held, accurately described, free from known pests and disease, and lawful to sell and ship to the destinations you accept orders from.

You agree to indemnify us against claims, losses, damages, and reasonable legal costs arising from your listings, your goods, your fulfilment, your breach of these terms, or your breach of law.

12. Our liability

The Marketplace is provided on an “as available” basis. We do not guarantee uninterrupted access, particular sales volumes, or search placement.

To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, or loss of goodwill. Our total liability to you in any [12] month period is limited to the commission you paid us in that period.

Nothing in these terms limits liability that cannot be limited by law.

13. Suspension and termination

You may close your vendor account at any time, provided you first fulfil or properly cancel all open orders.

We may suspend or terminate your account where you breach these terms or our policies, where verification fails, where your performance metrics fall below acceptable levels, or where we are required to by law.

  • Serious breaches — prohibited listings, falsified documentation, knowingly shipping diseased stock, fraud — may result in immediate termination
  • On termination, listings are removed and payouts held until open orders, claims, and chargebacks are resolved
  • Sections covering fees owed, indemnity, liability, and data protection survive termination

14. Changes to these terms

We may update these terms. We will give at least [30] days’ notice of material changes by email and by notice in your vendor dashboard.

Continuing to list or sell after the effective date constitutes acceptance. If you do not accept a change, close your account before the effective date.

15. Governing law and disputes

These terms are governed by the law of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction. [Insert any arbitration or mediation step you want to require first.]

If any provision is found unenforceable, the rest remains in force.

These terms, together with the Marketplace Guidelines and Prohibited and Restricted Items pages, form the entire agreement between us.
